The Secret Society of Whales (brand) refers to an NFT-based digital art brand that includes multiple blockchain-based collections, such as Secret Society of Whales (collection), Secret Society Security Orcas, Wealthy Whales Gen 1, Wealthy Whales Gen 2, and others. This website (“Site”) serves as a platform to view information about the brand and collections, mint NFTs, and may offer additional features in the future.

2. Finality of Transactions
All blockchain transactions conducted through this Site are final and irreversible. No blockchain transactions can be undone, reversed, restored, or refunded for any reason. By using the Site, you acknowledge and accept that all blockchain transactions are permanent.

3. User Responsibility
You are solely responsible for managing the security of your personal blockchain wallet, verifying and approving all transactions and smart contract interactions, and ensuring you understand how blockchain technology and NFTs function. We are not responsible for any loss resulting from compromised wallet credentials, user error, or misuse of smart contracts.

4. No Warranties
This Site and all related services are provided “as is” and “as available”, without warranties of any kind, whether express or implied. We make no guarantees regarding functionality, uptime, future utility, or financial value of any NFT.

5. Collectibles, Not Investments
NFTs associated with the Secret Society of Whales (brand) are intended solely as digital collectibles. They are not investment vehicles, and we make no representations or guarantees regarding future value, liquidity, or performance.

6. Assumption of Risk
By using this Site or minting NFTs, you agree to bear all associated risks. You agree to hold us harmless for any losses incurred, including but not limited to gas fees for failed or unsuccessful transactions, excessive gas fees caused by Site or contract issues, loss of NFTs due to Site or smart contract errors.

7. Taxes
You are solely responsible for determining and fulfilling any tax obligations that may arise from minting, transferring, or selling NFTs.

8. Class Action Waiver
You agree to waive the right to participate in any class action or class-wide arbitration against the operators of this Site or the Secret Society of Whales (brand).

9. Age Requirement
By using this Site, you confirm that you are at least 18 years old or of legal age in your jurisdiction to engage in blockchain-related activities.

1. You Own the NFT
Each Whale NFT — whether from the Secret Society of Whales (collection), Secret Society Security Orcas, Wealthy Whales Gen 1, or Wealthy Whales Gen 2 — exists as a unique token on the blockchain. For the purposes of this document, each NFT may be referred to simply as a "Whale." When you purchase a Whale NFT, you own the underlying art of the Whale completely. Ownership of the NFT is mediated entirely by the Smart Contract and the blockchain network: at no point may we seize, freeze, or otherwise modify the ownership of any Whale.

2. Personal Use License
Subject to your continued compliance with these Terms, Champlify Labs LLC grants you a worldwide, non-exclusive, royalty-free license to use, copy, and display the Art associated with your Whale for personal, non-commercial purposes. This includes displaying the Art: (i) for personal enjoyment; (ii) as part of a marketplace that enables the sale or transfer of your Whale, provided the platform verifies ownership; (iii) on third-party websites or applications that support NFTs, provided the Art is only visible while you own the Whale.

3. Commercial Use License
Subject to your continued compliance with these Terms, Champlify Labs LLC grants you a worldwide, non-exclusive, royalty-free license to use, copy, display, and create derivative works based on the Art associated with your Whale, including for commercial purposes.

You may use the Art for personal projects, merchandise, and other commercial endeavors, provided that: (i) ownership of the Whale is cryptographically verifiable; (ii) the Art is not used in a way that is misleading, defamatory, or infringes on the rights of others; (iii) the Art is no longer displayed or used once you no longer own the corresponding Whale NFT.

4. Secret Society Pixel Whales and IP Ownership
The Secret Society Pixel Whales collection features pixelated interpretations of NFTs from the Secret Society of Whales (collection). Each Pixel Whale is visually derived from its corresponding Whale, but ownership of a Pixel Whale does not confer any intellectual property (IP) rights to the original Art.

Only the owner of the corresponding NFT from the Secret Society of Whales (collection) holds the IP rights to the original Art, including the right to use the Art for commercial or derivative purposes as outlined in these Terms.

Owners of Secret Society Pixel Whales may display, transfer, or sell their Pixel Whale NFTs, but they may not claim ownership of, or make commercial use of, the original Art unless they also own the associated Whale NFT from the Secret Society of Whales (collection).

Secret Society of Whales will not collect any cookies, IP addresses, or user data in connection with your use of the website and app. This is subject to change. Additionally, you understand that the potential blockchain networks used are public blockchains and all of your transaction history initiated through the website will be made public. You also understand that Secret Society of Whales may work with third-party apps that collect data, such as Discord or Collab.Land for Whale Holder verifications or giveaways. However, if Secret Society of Whales aims to launch products (e.g. merch store) in the future, this will require us to collect and store user data. In that event, this provision is subject to change.
